Subscription Terms

Effective date: 1 October 2026

If you had an account with us before 1 October 2026, these terms apply to you from 1 November 2026. Until then, the terms you agreed to before continue to apply. If you buy or upgrade a plan before 1 November 2026, these terms apply to that purchase from the day you buy.

These terms explain how paid plans for Aspis work: what you pay, how and when we take payment, how your plan renews, how to cancel it, and what happens if something goes wrong.

Please read them before you buy. Sections 6 (automatic renewal), 7 (your 14-day right to cancel) and 8 (how to cancel) matter most.

You can save or print this page. When you buy, we email you a receipt that sets out the key terms, with these terms attached as a PDF.

Key points

1. About us and these terms

1.1 Who we are. Aspis and AgentCouncil are trading names of Aspis Protocol Ltd, a private limited company registered in England and Wales under company number 15506799. Our registered office is at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom. Our VAT number is GB 513 3001 57. In these terms, "we", "us" and "our" mean Aspis Protocol Ltd, and "you" means the person who buys or holds a plan.

1.2 How to contact us. Email us at info@aspis.finance. When we need to contact you, we will email the address on your account.

1.3 What these terms cover and how they fit with our other terms. These terms apply to paid plans you buy through the checkout on our websites. Each of our products also has terms of use, which explain how you may use it: the Aspis Terms of Use for the Aspis web app and Aspis Copilot, and the AgentCouncil Terms of Use for AgentCouncil. In these terms, "Terms of Use" means the terms of use for the product concerned. These terms and the Terms of Use together make up your contract with us. Where these terms and the Terms of Use say different things about a paid plan, these terms apply. Our Privacy Policy explains how we use your personal data, including your payment details.

1.4 A plan is not an investment. A paid plan is a subscription to software features. Your subscription fee does not buy any cryptoasset, is not invested for you and does not give you a share in anything. Aspis Protocol Ltd is not authorised or regulated by the Financial Conduct Authority.

1.5 Who can buy a plan. You must be 18 or over. You need an account with an email address, so that we can send you receipts and notices about your plan. A plan is for your own account; please do not share your login.

1.6 Consumers and businesses. If you buy a plan as a consumer, meaning mainly for purposes outside your trade, business, craft or profession, the law gives you rights that these terms do not take away. Sections 7 and 11 describe some of them. If you buy a plan for a business, the consumer rights described in these terms do not apply to you, and the parts of the Terms of Use that apply to business users (including the limits on our responsibility to them) apply to you; the rest of these terms also apply. Team and Enterprise plans for organisations are sold under a separate written agreement, not under these terms.

2. Our plans

2.1 Free plan. You can use the Free plan without paying and without giving us card details. It has limited features. We may change what the Free plan includes. If a change removes something you use, we will give you reasonable notice.

2.2 Paid plans. We offer two paid plans, Pro and Max, each paid monthly or yearly. The pricing pages list what each plan includes in each product:

The pricing pages also show any usage limits that apply. What the pricing page and the checkout say your plan includes on the day you buy forms part of your contract with us. The receipt we email you when you buy lists it (section 4.4).

2.3 One plan for your whole account. Your account works across Aspis (the Aspis web app and Aspis Copilot on Telegram) and AgentCouncil. A plan bought on either site unlocks the plan's paid features in all three, and you pay for it once. The pricing pages list what your plan includes in each product.

2.4 What you need. Our products run in current versions of the main web browsers. Aspis Copilot runs in the Telegram app. Some Aspis features need a compatible crypto wallet.

2.5 No trials that turn into paid plans. We do not offer free trials that turn into paid plans. If we give you a paid plan free of charge, for example through "Get Trial Pro Access" on aspis.finance, it is a complimentary plan (section 14). A complimentary plan never turns into a paid plan: you pay only if you choose to buy a plan yourself.

3. Prices, currency and tax

3.1 Prices. Our prices are:

3.2 Currency. Prices are in pounds sterling (GBP) if you appear to be in the United Kingdom, in euros (EUR) if you appear to be in a European Union country, and in US dollars (USD) everywhere else. We work this out from the location of your internet connection.

The number is the same in every currency, so what you actually pay depends on the currency you are shown. You always see the currency and the total before you pay. Every renewal is charged in the currency you paid in at checkout.

If your card is in a different currency, your bank may charge you conversion or foreign transaction fees. We do not receive those fees.

3.3 Tax. Our prices include any VAT that applies. We do not add tax at checkout.

3.4 No other charges from us. We do not charge set-up fees, cancellation fees, refund fees or late payment fees.

3.5 If we show the wrong price. We may occasionally show a price that is obviously wrong, for example because a mistake makes it a small fraction of the real price. If that happens and you could reasonably have realised the mistake, we may cancel your plan and refund everything you paid for it. We will contact you before we do this.

4. Buying a plan

4.1 The steps. To buy a plan, you:

  1. choose a plan and how often to pay (monthly or yearly) on the pricing page;
  2. check the order summary, which shows the price, how your plan renews and how to cancel;
  3. tick the box asking us to start your plan straight away (section 7). The box is not ticked in advance;
  4. enter your card and billing details in the secure payment form; and
  5. press the button that says "Subscribe and pay" with the amount.

4.2 Correcting mistakes. Until you press "Subscribe and pay" you can go back and change your plan or how often you pay, and correct your card or billing details. If you close the checkout before pressing it, no order is placed and nothing is charged.

4.3 When the contract is made. Our contract is made when your payment goes through. We then start your plan straight away. If your payment does not go through, there is no contract and we do not charge you.

4.4 Your receipt. When your plan is activated, we email you a receipt confirming your order. It contains:

Our accounting system also emails you a separate invoice showing the payment as paid.

4.5 Language and records. These terms are available in English only. We keep a record of your order and of the version of these terms that applied when you bought, and we will send you a copy if you ask.

5. Payment and your saved card

5.1 Card payments. You pay by debit or credit card. Our payment provider, Revolut, processes the payments. You type your card details straight into Revolut's secure payment form, so we never see or store your full card number or security code.

We do keep some card details, such as the card type, the last four digits of the card number and its expiry date, together with your billing address. We use them to manage your plan, to issue invoices and to show you which card we will charge. Our Privacy Policy lists the details we keep and for how long.

5.2 Saving your card for renewals. When you buy a plan, you agree that we may save your card with Revolut and charge each renewal payment to it automatically, at the prices and on the dates set out in these terms, until you cancel. You can end this at any time by cancelling your plan (section 8).

5.3 Changing your card. You can change the card we charge on your billing page. To check a new card, your bank may briefly show an authorisation of about 1.00 in your billing currency. It is not a payment and is never taken.

5.4 Cards about to expire. If your card will expire before your next payment, we will try to email you before that payment is due so that you can update it.

5.5 Who takes your payment. Aspis Protocol Ltd takes the payment whichever of our products you bought through.

6. Automatic renewal

6.1 Your plan renews automatically. Paid plans have no minimum term and no fixed end date. At the end of each monthly or yearly period, your plan renews for another period of the same length and we charge your saved card, until you cancel (section 8).

6.2 When we charge you. On a monthly plan we charge you on the same day of the month as your first payment, and on a yearly plan on the same date each year. If that day does not exist in a month (for example the 31st in a 30-day month, or 29 February in a year that is not a leap year), we charge you on the last day of that month instead, and go back to your usual day the following month. We work out dates in Coordinated Universal Time (UTC), so if you pay close to midnight your payment day may be one day different from the date where you are. The checkout, your receipt and your billing page show the exact date. Upgrading can change your payment date (section 9.2).

6.3 What we charge. Each renewal costs the price of your plan when it renews. That is the price you paid at checkout, unless we have told you about a price change in advance under section 12.

6.4 Checking your next payment. Your billing page and your latest receipt show your plan, the date of your next payment and the amount.

6.5 Reminders. On a yearly plan, we email you a reminder about 30 days before each renewal. On a monthly plan, we email you a reminder at least once every six months. Each reminder gives the date and amount of your next payment and tells you how to cancel. We send these reminders even if you have unsubscribed from marketing emails, because they are about your contract.

7. Your 14-day right to cancel

7.1 Your right. If you are a consumer, you normally have 14 days to change your mind about a contract made online and get a refund, without giving a reason. For a paid plan, the 14 days start on the day the contract is made (section 4.3).

7.2 Asking us to start straight away. Your plan unlocks digital features in our products, and we make them available as soon as your payment goes through. We can only do that within the 14 days if you ask us to. So at checkout we ask you to tick a box, which is not ticked in advance, confirming that:

We only sell plans that start straight away, so the checkout will not let you pay until you have ticked the box. If you do not want to make this request, please do not buy a plan; you can keep using the Free plan.

7.3 When the right ends. Once your plan starts after you have ticked the box, your 14-day right to cancel ends. Your receipt email confirms your request and the time you made it.

7.4 When you keep the right. You keep your 14-day right to cancel, and can get a full refund, if:

7.5 How to cancel within the 14 days. If you still have the right, tell us clearly before the 14 days end. The easiest way is to email info@aspis.finance. You can use the model cancellation form at the end of these terms, but you do not have to: any clear statement is enough. We will refund you within 14 days of the day you tell us, to the card you paid with, and we will not charge you a fee for the refund. Your account will then move to the Free plan.

7.6 Your other rights. Losing the 14-day right to cancel does not affect your right to stop your plan renewing at any time (section 8), or your rights if your plan is faulty or not as described (section 11). Nothing in this section takes away any right to cancel that the law gives you.

8. Cancelling your plan

8.1 You can cancel at any time. There is no minimum term and no cancellation fee. To cancel, either:

A cancellation by email takes effect on the day we receive it, even if we process it later. If we take a renewal payment after that day, we will refund it.

8.2 What happens when you cancel. We will not take any more payments. You keep your plan until the end of the period you have already paid for, and your account then moves to the Free plan. Cancelling does not close your account.

8.3 Emails. We will email you to confirm your cancellation and the date your plan ends, and again on the day it ends.

8.4 No refund for the rest of the period. Because you keep your plan until the end of the period you have paid for, we do not refund part of that period when you cancel, unless section 7, 8.7, 11, 12, 13 or 15 says otherwise.

8.5 Changing your mind. Until your plan ends, you can undo the cancellation on your billing page; your plan then carries on and renews as before. Once it has ended, you can buy a plan again at any time.

8.6 What happens to things you set up on a paid plan. When your account moves to the Free plan, nothing you created on a paid plan is deleted because of it. You may, however, be unable to use paid features with those things, or to create more, until you buy a plan again. Your plan ending does not, by itself, move or withdraw any cryptoassets held in a vault.

Automated trading and price-triggered orders. Automated trading in a Copilot-run vault (including an Agent-Fund), and the price-triggered orders you set for it (limit, stop-loss and take-profit orders), do not depend on your plan. They depend on the trading permission you signed in your own wallet, and the Aspis Terms of Use govern them. So when your plan ends and your account moves to the Free plan, your existing orders keep running until they are carried out, you cancel them, or the permission is revoked or expires. If you want them to stop, cancel them, or use "Stop automated trading" in the Aspis web app or in Aspis Copilot to revoke the permission from your wallet. Automated trading in a legacy vault (a Copilot-run vault or Agent-Fund created before 1 October 2026) does not depend on your plan either; the Aspis Terms of Use explain when it stops.

8.7 Closing your account. If you close your account, or ask us to erase your personal data (which closes it), while a paid period is running, your plan ends straight away and we will not charge you again.

Before we close your account, we will tell you what happens to your plan and ask you to confirm.

9. Changing your plan

9.1 Upgrading. While a paid plan is running, you can upgrade:

9.2 How an upgrade is charged. When you upgrade, you pay the full price of the new plan and it starts straight away, with a new period beginning that day. We work out what the unused time on your old plan is worth at the old plan's price, and add the same value to your new plan as extra time. Your next payment date then moves to the end of the new period, including that extra time, and later payments are taken on that day. The checkout and your receipt both show the new date.

For example, with 15 days left on a monthly Pro plan (worth about 9.36) you upgrade to monthly Max. Almost 3 days are added to your first month of Max.

9.3 An upgrade is a new purchase. Section 7 applies to it, so at checkout we again ask you to request an immediate start.

9.4 Moving to a lower plan. While a paid period is running, you cannot move from Max to Pro, or from yearly to monthly payments on the same plan, and you cannot buy the plan you already have. To move down, cancel your plan (section 8) and buy the lower plan once your current period has ended. We do not move you to a lower plan automatically.

9.5 Buying after you have cancelled. If you have cancelled your plan and then buy a plan, your cancellation is withdrawn, and the plan you buy renews automatically as described in section 6.

10. If a payment fails

10.1 We will try again. If a renewal payment does not go through, we will try your card again. We make up to four attempts in total over three days, starting on your renewal date.

10.2 We will tell you. After each failed attempt we email you with the date of the next attempt, and with the reason your bank gave if it is one we can explain in plain words. We stop trying and ask you to add a new card if your bank tells us the card cannot be used again (for example, because it has been cancelled), or if there is no card saved on your account.

10.3 Adding a new card. If you add a new card on your billing page during this time, we try it straight away.

10.4 You keep your plan meanwhile. You keep your paid plan while we are trying to take the payment. If a later attempt succeeds, your plan carries on and your usual payment date stays the same. If a payment fails because of a problem on our side rather than with your card, it does not count towards these attempts, and you keep your plan while we put it right.

10.5 If we still cannot take payment. If we have not been able to take the payment by the end of the three days, your account moves to the Free plan and we email you to tell you. We will not try to take that payment again, and you will not owe us anything for the days you kept your plan while we were trying. You can buy a plan again at any time.

11.1 Your legal rights. If you are a consumer, the Consumer Rights Act 2015 gives you rights that we cannot exclude. In summary:

For free, independent advice, contact Citizens Advice at citizensadvice.org.uk (England and Wales), Advice Direct Scotland, Consumerline (Northern Ireland), or the European Consumer Centre in your country if you live in the European Union.

11.2 How to ask for a fix or a refund. Email us at info@aspis.finance from the address on your account, giving your order reference (it is in your receipt) and telling us what went wrong. We handle refund requests by hand, so there is no refund button: email us. If we agree a refund is due, we will pay it to the card you paid with within 14 days of agreeing it, and we will not charge a fee.

11.3 Payment mistakes. If we charge you twice, or charge the wrong amount, tell us. We will refund the difference promptly, and in any case within 14 days.

11.4 Service problems. We use reasonable care and skill to keep our products working. They also depend on things we do not control, such as public blockchains, wallets, Telegram and outside AI providers, and we may need to take them offline briefly for maintenance or security. If a problem stops you using your paid features for a significant time, tell us. We will put it right, and if we cannot, we will reduce the price to reflect the time you could not use them. This does not affect your legal rights.

11.5 Our responsibility for loss. If you are a consumer and we break these terms, or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that was a foreseeable result. We are not responsible for loss or damage that was not foreseeable. Our plans give you software tools and information, not financial advice, and the Terms of Use explain the other limits of our responsibility. If you buy a plan for a business, the Terms of Use set out our responsibility to you instead. Nothing in these terms or the Terms of Use limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit, and nothing affects your legal rights as a consumer.

12. Price changes

12.1 We may change our prices. We may change the price of a paid plan, for example because our costs change, taxes change, or the plan changes. If we change the price of your plan, we will email you at least 30 days before the new price applies to you.

12.2 When a new price applies. A new price applies from your first renewal after the 30 days. We will never change the price of a period you have already paid for.

12.3 You can cancel before it applies. If you do not want to pay the new price, cancel before your first renewal at that price (section 8) and you will not be charged it. If you do nothing, your plan renews at the new price.

12.4 Price reductions. If we lower the price of your plan, the lower price applies from your next renewal.

13. Changes to our plans and products

13.1 Why we might make changes. We may change our products, and what each plan includes:

13.2 Changes that make your plan worse. If a change will make your paid plan materially worse for you, for example by removing a feature you pay for, we will tell you at least 30 days in advance, unless we have to act sooner for legal or security reasons. You can then cancel your plan, and we will refund the part of any payment that covers the time after the change takes effect.

13.3 Withdrawing a plan or a product. We may stop offering a plan or a product. If we do, we will give you at least 30 days' notice, or any longer notice that the Terms of Use for that product give, unless we have to act sooner for legal or security reasons. We will refund any payment you have made for the time after it stops.

14. Complimentary plans

14.1 What they are. We sometimes give a paid plan free of charge for a fixed period, for example as a trial or to put a problem right. When we do, we email you with the plan and the date it ends.

14.2 No charge, no renewal and never paid. A complimentary plan needs no card. We never charge you for it, it does not renew and it never turns into a paid plan. When it ends, your account moves to the Free plan and we email you to tell you.

14.3 Buying a plan during a complimentary plan. You can buy a paid plan at any time during a complimentary plan. The paid plan starts straight away and replaces the complimentary plan. The checkout shows the date of your first renewal before you pay.

14.4 Other conditions. A complimentary plan has no cash value and cannot be transferred. We may end it early if you seriously break our Terms of Use, or if we gave it to you by mistake; if we do, we will tell you.

15. If we suspend or end your plan

15.1 If you break the rules. We may suspend or end your paid plan if:

Before we act, we will tell you why. If the problem can be put right, we will give you a reasonable chance to do so. We will not do either if the law prevents it or there is a risk of harm. If we end your plan under this section, we will refund the part of any payment that covers the time after it ends, unless the law prevents us from making that refund. If we suspend your plan for more than 7 days and it turns out that you were not at fault, we will refund the part of the price that covers the suspension or, if you prefer, add that time to your plan.

15.2 If we end your plan for another reason. We may also end your plan for another reason by giving you at least 30 days' notice. If we do, we will refund any payment you have made for the time after it ends.

15.3 Events outside our control. If something outside our reasonable control stops us providing your plan, we will tell you as soon as we can and take reasonable steps to limit the effect. If it lasts more than 30 days, you can cancel your plan and we will refund any payment for the time you could not use it.

16. Complaints

16.1 How to complain. Email us at info@aspis.finance, giving the email address on your account and telling us what happened. We will acknowledge your complaint within 5 working days, and we aim to give you a full reply within 4 weeks. If we need longer, we will tell you why and when to expect our reply.

16.2 If we cannot resolve your complaint. We will tell you so by email. We will also give you the name and website of an alternative dispute resolution (ADR) provider that could deal with your complaint, and say whether we agree to use it.

16.3 Other options. If you live in the European Union, you can also contact the consumer protection authority or the European Consumer Centre in your country. None of this affects your right to go to court (section 17.6).

17. Other important terms

17.1 Changes to these terms. We may update these terms to reflect changes in the law, in how our products or payments work, or to make them clearer. The date at the top shows the current version. If a change is to your disadvantage, we will email you at least 30 days before it applies to you. Unless the law requires otherwise, it will then apply from your first renewal after that notice. If you do not accept it, you can cancel before it applies (section 8). If the law makes us apply a change to your disadvantage during a period you have already paid for, you can cancel, and we will refund the part of your payment that covers the rest of that period. Changes that are not to your disadvantage, such as corrections or clearer wording, can apply straight away.

17.2 Transferring this contract. We may transfer our rights and obligations under these terms to another organisation, for example if our business is sold. We will tell you if we do, and we will make sure the transfer does not reduce your rights. If you are unhappy with the transfer, you can cancel, and we will refund any payment for the period after you cancel. You may not transfer your plan to anyone else.

17.3 Nobody else has rights under these terms. This contract is between you and us. No one else can enforce any of its terms.

17.4 If part of these terms is invalid. Each section of these terms operates separately. If a court decides that part of them is unlawful, the rest stays in force.

17.5 Delays in enforcing these terms. If we do not insist straight away that you do something you are required to do under these terms, we can still insist on it later.

17.6 Law and courts. These terms are governed by the law of England and Wales, and you can bring legal proceedings about them in the courts of England and Wales. If you live in Scotland, you can also bring proceedings in Scotland, and if you live in Northern Ireland, in Northern Ireland. If you live in the European Union or elsewhere outside the United Kingdom, you keep the protection of the mandatory consumer laws of the country where you live, and you can bring proceedings in the courts there where the law allows. If you buy a plan for a business, the courts of England and Wales have exclusive jurisdiction.

Model cancellation form

Complete and send this form only if you want to cancel your contract within the 14-day period and you still have that right (see section 7). You do not have to use it: an email saying clearly that you want to cancel is enough.

To: Aspis Protocol Ltd, 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom. Email: info@aspis.finance

I hereby give notice that I cancel my contract for the supply of the following plan:
